Legal Terms and Conditions
1. Contract Formation
The specific terms, scope of work, project timeline, and total cost shall be mutually agreed upon by both parties prior to commencement of any work, as set forth in a duly signed contract. This contract constitutes the entire agreement between Professional Painting Contractor LLC (“Company”) and the Client (“Client”).
2. Scope of Work and Change Orders
The scope of work is as detailed in the signed contract and any subsequent amendments. Any changes or additions to the scope of work (“Change Orders”) may result in additional fees and/or adjustments to the project schedule. Such changes shall be documented in writing and approved by both parties.
3. Payment Terms
Payment methods accepted include cash, check, and direct deposit. Payment terms, including deposits, progress payments, and final payment, shall be outlined and agreed upon in the signed contract. Client agrees to adhere to the payment schedule as specified.
4. Travel and Lodging Fees
For projects requiring travel beyond the Company’s primary service area, travel fees will be incorporated into the contract price. Should the project extend beyond the anticipated completion date, additional lodging fees may apply. Any such fees will be disclosed and mutually agreed upon in writing prior to incurring costs.
5. Project Scheduling and Delays
The Company will make commercially reasonable efforts to adhere to the agreed project timeline. However, unforeseen circumstances, including but not limited to weather conditions, supply delays, or other force majeure events, may impact scheduling. Client shall be notified promptly of any material changes.
6. Site Preparation and Access
Client is responsible for ensuring the worksite is accessible and free of obstructions prior to the commencement of work. All vehicles and personal property must be removed from areas near the worksite to prevent overspray or incidental damage. Client acknowledges and agrees to this requirement.
7. Animals on Property
All animals must be restrained during work hours to ensure safety. Client shall be held responsible for any injury or damage caused by animals that are not properly restrained. The Company shall not be liable for damages or delays resulting from unrestrained animals interfering with the project.
8. Warranty and Project Completion
A warranty outlining the scope and duration of coverage will be included with each proposal and contract. The warranty will become effective only upon project completion and full payment. Full payment by Client constitutes irrevocable acknowledgment of satisfactory project completion and acceptance of the work performed.
9. Limitation of Liability
Professional Painting Contractor LLC shall not be liable for damages arising from conditions beyond its control, including but not limited to acts of God, client negligence, or unforeseen site conditions. This limitation is further detailed within the warranty agreement signed upon contract execution. By engaging the Company’s services and/or accessing this website, Client agrees to these terms.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia without regard to its conflicts of law principles.
12. Entire Agreement
This document, together with the signed contract and any addenda, constitutes the entire agreement between the parties and supersedes all prior understandings.
13. Termination
Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within a reasonable period following receipt of written notice specifying the breach.
Upon termination, Client shall pay the Company for all work performed and materials supplied up to the effective date of termination.
14. Right to Suspend or Cease Work Due to Non-Payment
If Client fails to make payments as stipulated under this Agreement, the Company reserves the unequivocal right to suspend or cease all work and services without liability or penalty. Such suspension shall remain in effect until all outstanding payments, including any accrued late fees or costs, are remitted in full. Suspension or termination of work pursuant to non-payment shall not relieve Client of their obligation to compensate the Company for all work performed and materials supplied up to the date of suspension or termination. The Company expressly reserves all remedies available at law or equity to recover any unpaid amounts.
15. Acceptance of Terms
By accessing this website and/or signing a contract with Professional Painting Contractor LLC, Client acknowledges and agrees to all Terms and Conditions herein, which are legally binding.

16. Electronic Signatures
Client agrees that the contract, as well as any approved change orders or related documents, may be executed using electronic signatures via a secure platform such as DocuSign. Both parties will sign the same contract document electronically. These electronic signatures are valid, legally binding, and enforceable to the same extent as traditional handwritten signatures.
Plain Language Terms and Conditions — What You Need to Know
1. Agreement Before Work Starts
Before we begin, we’ll agree together on the details of the job — what we’re doing, the total cost, and when it should be finished. We’ll both sign a contract to make sure everything is clear and fair.
2. What’s Included and Changes
The work we do will match what’s written in the signed contract. If you want to make changes after we’ve started, that might affect the price or schedule. All changes must be put in writing and approved by both of us.
3. Payment
We accept cash, check, and direct deposit. Your contract will explain how much is due for the deposit, during the job (if needed), and at the end. You agree to follow this payment schedule when you sign the contract.
4. Travel and Lodging Costs
If the job is far from our usual area, travel costs will be added to your price and listed in the contract. If the job takes longer than expected, extra lodging costs may apply — but we’ll talk about it first and get your agreement in writing.
5. Timing
We always do our best to finish on time. Sometimes things we can’t control — like bad weather, supplier delays, or other unexpected events — may cause delays. If that happens, we’ll keep you in the loop.
6. Getting the Space Ready
Please make sure the work area is open and cleared before we arrive. Any vehicles or personal items near the workspace should be moved to avoid paint or other damage. This helps us protect your property and get started quickly.
7. Pets and Animals
For safety, all pets must be kept away from the work area during the job. If a pet causes damage or slows down the work, you’re responsible for it — and we can’t be held liable for those issues.
8. Warranty and Project Approval
We include a warranty with each job, and you’ll get a copy when we give you the proposal. The warranty becomes active only once the work is finished and the final payment is made. Once payment is made, it means you approve the completed work — and that approval can’t be undone later.
9. Limits on Our Responsibility
We’re not responsible for damage caused by things outside of our control — like natural disasters, accidents, or unsafe site conditions. These limits are explained more in the warranty and contract.
10. Privacy
We take your privacy seriously and keep your information safe. You can read our Privacy Policy on the website or contact us if you have questions.
11. Following the Law
This agreement follows Virginia law.
12. Full Agreement
The signed contract and these terms are the full agreement between you and us. Anything not written here isn’t part of the agreement.
13. Ending the Agreement
Either of us can end the agreement if the other breaks the rules and doesn’t fix it in a reasonable amount of time after being told in writing. If the job ends early, you’ll still need to pay for the work done and materials used up to that point.
14. If You Don’t Pay on Time
If you miss a payment, we have the right to stop or pause the job until it’s caught up. You’ll still owe us for the work we already completed and any added fees. We also have the right to take legal steps to collect any unpaid balance.
15. Electronic Signatures
You agree that the contract (and any approved changes to it) may be signed electronically using a secure platform like DocuSign. Both you and our company will sign the same contract document. These electronic signatures are legally binding and count the same as handwritten ones.
16. Agreement to These Terms
By using our website or signing a contract with us, you agree to all of these terms. They are legally binding and protect both you and us.
